Ethical Properties LLC expressly reserves the right to repay any private loan — including all outstanding principal and accrued interest through the date of payoff — at any time prior to the agreed maturity date, at our sole and unrestricted discretion, without penalty and without the investor's consent. Upon early payoff, the investor shall receive 100% of the principal invested plus all interest accrued from the start date through and including the actual payoff date. No additional interest, penalties, or compensation shall be owed for early repayment. By submitting an investor interest form and/or entering into a private loan agreement with Ethical Properties LLC, you expressly acknowledge and agree to this early payoff right.

In the event of any conflict between statements made on this website, in marketing materials, or in verbal communications and the terms of a fully executed written private loan agreement, the written agreement shall govern and control in all respects. No verbal promise, email, text message, or informal communication shall modify, supplement, or override a signed written agreement.
All information shared between an investor and Ethical Properties LLC in connection with any investment discussion or arrangement — including deal details, property addresses, financial terms, and business strategies — shall be treated as confidential by both parties and shall not be disclosed to third parties without prior written consent, except as required by law.
A private loan arrangement with Ethical Properties LLC does not create a partnership, joint venture, membership interest, equity stake, or ownership interest of any kind in Ethical Properties LLC or any of its properties, subsidiaries, or affiliates. Investors are creditors only — not owners, members, or partners. Investors have no rights to vote, manage, control, or direct the operations or decisions of Ethical Properties LLC.
In the event Ethical Properties LLC fails to repay a private loan in accordance with the terms of a written agreement, the investor's sole remedy shall be to pursue legal action under the terms of that written agreement and applicable Michigan law. Ethical Properties LLC shall not be liable for any consequential, incidental, or punitive damages arising from any default or delay in repayment beyond the principal and accrued interest owed under the written agreement.
These Terms and any disputes arising from your use of this website or submission of information shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions. Any legal action shall be brought exclusively in the state or federal courts located in Michigan, and you consent to personal jurisdiction in such courts.
